BTS Lighting & Alpha Series Lighting – MAP & MRP Policy

Policy Overview

This Minimum Advertised Price (MAP) and Minimum Resale Price (MRP) Policy applies to all authorized dealers, resellers, and distributors of BTS Lighting and Alpha Series Lighting products. BTS Lighting and Alpha Series Lighting (divisions of Brock Transportation Services Ltd.) will enforce this policy with zero tolerance for violations. The policy is designed to maintain fair competition, uphold our brands’ value, and ensure all reselling partners operate on a level playing field. Any failure to comply will result in the enforcement actions outlined below.

MAP and MRP Compliance

  • Minimum Pricing: Dealers must not advertise or sell BTS Lighting or Alpha Series Lighting products at prices below the official retail prices listed on our websites. For Canadian and international sales, the minimum price is the retail price (in CAD) as listed on www.alphaserieslighting.com. For U.S. sales, the minimum price is the retail price (in USD) as listed on www.btslighting.com. These listed retail prices serve as the MAP/MRP floor for all regions.

Sales and Marketplace Restrictions

  • Stocking Dealers: Authorized dealers who regularily stock inventory may run promotional sales or discounts at their discretion. However, even during promotions, stocking dealers are expected to honor the MAP/MRP floor prices and not significantly undercut the established retail pricing without prior approval. Any in-store or advertised sale should be of limited duration and should not erode the perceived value of our products.
  • Drop-Ship Dealers: Authorized dealers who do not hold inventory (drop-ship) are only permitted to offer discounts or sale pricing during specific pre-approved sale periods. These sale periods will be determined and communicated by BTS Lighting and Alpha Series Lighting (e.g. seasonal promotions or company-sanctioned sales events). Drop-ship dealers may not offer any unscheduled discounts outside of these approved time frames.
  • No Unauthorized Marketplace Sales: Selling BTS Lighting or Alpha Series Lighting products on third-party marketplaces (such as Amazon, eBay, Walmart, or similar platforms) is strictly prohibited unless explicitly pre-approved in writing by us. Dealers may sell through their own websites or physical stores, but online marketplace listings on unauthorized sites are not allowed. This ensures control over pricing and brand presentation across all channels.
  • Indirect Reseller Compliance: If a dealer resells our products to any sub-dealers or indirect resellers, the dealer must ensure those parties also comply with this MAP/MRP Policy. It is the dealer’s responsibility to communicate the policy to their customers and partners down the supply chain. Any violation by an indirect seller will be treated as a violation by the supplying dealer. Maintaining brand integrity at all levels of distribution is crucial.
  • Policy Updates: This policy will be periodically reviewed and updated to adapt to industry standards and market conditions. BTS Lighting and Alpha Series Lighting reserve the right to adjust the minimum prices or other terms of this policy as needed. Dealers will be notified of any such updates, and are expected to remain informed of the current policy. Continued participation as an authorized reseller signifies acceptance of the most current policy terms.

Violation Enforcement & Penalties

We take MAP/MRP violations seriously. All dealers are expected to monitor their pricing and the pricing of any third parties selling their inventory to ensure compliance. If a violation occurs, the following escalating enforcement actions will be taken:

  • First Violation: The dealer will receive a written warning outlining the specific violation. The dealer must correct the pricing issue within 48 hours of receiving the warning. Failure to adjust the advertised or sale price to comply with the MAP/MRP after 48 hours will be treated as a second violation.
  • Second Violation: The dealer’s account will be immediately suspended for 30 days. During the suspension, the dealer will not be able to purchase additional product or receive any further shipments. BTS Lighting and Alpha Series Lighting will inform the dealer of the suspension in writing. After 30 days, the dealer may be reinstated at our discretion only if they have corrected the violation and agree in writing to adhere to the policy going forward.
  • Third Violation: The dealer’s authorization to sell BTS Lighting and Alpha Series Lighting products will be permanently revoked. The dealer will be blacklisted and no longer eligible to buy or sell our products. We will terminate any distribution agreements with the dealer immediately upon a third violation. Furthermore, BTS Lighting and Alpha Series Lighting may inform other distributors and partners of the dealer’s status to prevent circumvention of the ban. Repeat violators will not be given any additional chances to remedy the situation.

(Note: BTS Lighting and Alpha Series Lighting reserve the right to skip to a more severe penalty depending on the severity or willfulness of the violation. eg. Deliberately large undercutting of price or recurring breaches may result in immediate suspension or termination even on a first offense.)

Reporting Violations

We encourage our partners and customers to report any observed violations of this policy. If you become aware of a dealer advertising or selling below the MAP/MRP or violating the sales channel restrictions, please report it immediately. You can report violations by emailing support@btslighting.com or by calling our toll-free number 1-800-424-2966. All reports will be kept confidential. We appreciate the cooperation of the community in maintaining a fair marketplace.

Legal Enforcement

BTS Lighting and Alpha Series Lighting reserve the right to take legal action to enforce this policy. This includes, but is not limited to, refusing to do business with any dealer or distributor found to be in violation and seeking injunctive relief or damages in court if necessary. By continuing as an authorized dealer, you acknowledge that we have sole discretion to determine compliance and enforce this policy. We may terminate distribution relationships or revoke dealership rights at any time for failure to comply with our MAP/MRP terms. All decisions by BTS Lighting and Alpha Series Lighting regarding policy enforcement are final.

This MAP and MRP Policy is a unilateral policy of BTS Lighting and Alpha Series Lighting. It is not a contract or agreement, and we do not seek nor will we accept any assurance of compliance as a condition for doing business. However, we will unilaterally enforce the terms above to protect our brand reputation and the competitive positioning of our products in the marketplace. Dealers, resellers, and distributors are required to adhere to this policy as a condition of remaining an authorized partner.
